Just incorporated a Sdn. Bhd. (Sendirian Berhad)? Does receiving your SSM registration notice mean everything is done?

Not quite.

Company incorporation is only the beginning. Apart from the annual SSM compliance requirements, a newly incorporated Sdn. Bhd. should also take note of the following:

1. Display Your Company Registration Number

For documents and materials issued or used by the company, the company should comply with the Companies Act 2016 requirements on displaying its registered name and Company Registration Number where applicable.

Examples include:

  • Invoices
  • Receipts
  • Letterheads
  • Business stationery
  • Official documents
  • Signboards

In simple terms, whenever you use your company name for business purposes, make sure the registered company name and registration number are correctly stated where required.

2. Make Your Company Identity Clear on Your Website and Social Media

Many businesses today operate through websites and social media platforms such as Facebook, Instagram, TikTok and Xiaohongshu.

For your company’s online business presence, it is good practice to clearly identify the legal entity behind the business.

This may include:

  • Website
  • Social media profiles
  • Online business profiles
  • Advertisements
  • Promotional materials

Clearly stating your registered company name and registration number helps customers understand which Sdn. Bhd. is operating the business.

 

3. Annual SSM Compliance Is Required

A Sdn. Bhd. is not something you register once and then forget about.

Every year, the company needs to comply with the applicable SSM Annual Compliance requirements, including:

  • Annual Return
  • Financial Statements and Reports

Whether the financial statements need to be audited depends on the company’s circumstances and whether it qualifies for the applicable audit exemption.

Company registration with SSM, Trademark registration and tax registration are separate matters. Registering a company name does not automatically give your brand trademark protection.
